Terms of Service
The terms and conditions governing your use of ReflectRally.

1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Served.ch LLC, a Swiss limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the ReflectRally platform and services ("Service").
ReflectRally is an architecture decision governance platform that helps software teams document, track, and govern architectural decisions through structured Architectural Decision Records (ADRs).
By accessing or using ReflectRally, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2. Definitions
- "Account" means your registered user account on the Service.
- "Architectural Decision Record (ADR)" means a structured record documenting an architectural decision, including context, decision, consequences, and assumptions.
- "Content" means any data, text, documents, or other materials you upload, submit, or create through the Service.
- "Member Seat" means a paid subscription that enables a user to create, edit, and review decisions within an Organization.
- "Organization" means a workspace within the Service representing a company, team, or group, which serves as the ownership and billing boundary for Content.
- "Viewer" means a user with read-only access to an Organization's Content.
- "Subscription" means a paid plan that grants access to premium features and Member Seats.
3. Service Description
ReflectRally provides a decision governance system for software architecture. The Service enables users to:
- Create and manage Architectural Decision Records (ADRs)
- Track decision lifecycle states (Draft, Proposed, Accepted, Superseded, Deprecated, Rejected)
- Document assumptions underlying decisions and monitor their validity
- Establish dependencies between decisions
- Conduct structured reviews and approvals
- Receive notifications when decisions require attention
- Organize decisions within multi-tenant Organizations
The Service is designed for long-lived architectural decisions that affect system boundaries, technology choices, deployment topology, security constraints, and maintainability. Accepted decisions become immutable and can only be changed through a formal superseding process.
4. Accounts and Registration
4.1 Account Creation
To use the Service, you must create an Account by providing accurate, current, and complete information, including:
- A valid email address
- Your name (optional but recommended)
- A secure password (for credential-based authentication)
You may also authenticate using supported third-party OAuth providers (e.g., GitHub, Google). When using OAuth, we receive limited profile information from those providers as described in our Privacy Policy.
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your Account
- Notifying us immediately of any unauthorized access at hello@reflectrally.com
We reserve the right to suspend or disable Accounts that we reasonably believe have been compromised.
4.3 Account Accuracy
You must keep your Account information accurate and up-to-date. We may use your email address for service-related communications, security alerts, and (with your consent) product updates.
5. Organizations and Multi-Tenancy
5.1 Organization Structure
All Content in ReflectRally belongs to an Organization, not to individual users. Organizations serve as the billing, ownership, and governance boundary. Even individual users must belong to an Organization to create decisions.
5.2 Roles and Permissions
Users within an Organization may have different roles:
- Owner/Admin: Manages users, assigns seats, configures organization settings, and manages billing
- Member: Can create, edit (before acceptance), and review decisions
- Viewer: Read-only access to all decisions and history (free, no seat required)
5.3 Organization Ownership
Each Organization has exactly one Owner. The Owner cannot be removed while serving as Owner. Ownership transfer requires explicit action by the current Owner or, in exceptional circumstances, verification through support.
5.4 Multi-Organization Membership
Users may belong to multiple Organizations. Each Organization is billed separately, and seat allocations are per-Organization.
6. Subscriptions and Billing
6.1 Free and Paid Features
ReflectRally offers:
- Free Viewer access: Unlimited Viewers per Organization at no cost
- Member Seats: Paid seats for users who create, edit, or review decisions, priced at $9 per seat per month (billed annually) or $12 per seat per month (billed monthly)
Each Organization selects a single billing cycle (monthly or annual) that applies to all Member Seats within that Organization.
14-Day Money-Back Guarantee: Payment is collected at the time of purchase. If you are not satisfied for any reason, you may request a full refund within 14 days of your initial purchase—no questions asked. This serves as your risk-free trial period.
6.2 Payment Processing
Payments are processed by Paddle.com, our Merchant of Record. By purchasing a Subscription, you agree to Paddle's Terms of Service and Privacy Policy.
Paddle handles all payment processing, invoicing, sales tax/VAT collection, and compliance. Your payment details are processed directly by Paddle and are not stored on our servers.
6.3 Billing Cycle
Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selection). The billing cycle begins on the date of your initial purchase and renews automatically.
6.4 Seat Management
You may add Member Seats at any time. Added seats are billed pro-rata for the remainder of your current billing cycle. Seat reductions take effect at the next billing cycle renewal.
6.5 Price Changes
We may change Subscription prices with at least 30 days' notice before your next billing cycle. Continued use after a price change constitutes acceptance. You may cancel before the new pricing takes effect.
6.6 Taxes
Prices may be exclusive of applicable taxes (VAT, sales tax, etc.). Paddle calculates and collects required taxes based on your billing address.
7. Cancellation and Refunds
7.1 How to Cancel
You may cancel your Subscription at any time through:
- Your Organization's billing settings within the Service
- The Paddle customer portal (link provided in billing emails)
- Contacting us at hello@reflectrally.com
7.2 Effect of Cancellation
Upon cancellation:
- Your Subscription remains active until the end of your current paid period
- No further charges will be made after the current period ends
- Member Seats will be downgraded to Viewer access
- Your Content remains accessible in read-only mode
- You may reactivate your Subscription at any time
7.3 Refund Policy
Within 14 days of your initial subscription purchase, you may cancel and receive a full refund for all seats—no questions asked. This includes any seats added during the 14-day period. Simply request your refund through the Paddle customer portal (link provided in your billing emails).
After the 14-day period has ended, no refunds are provided. All refunds are processed by Paddle as our Merchant of Record.
7.4 Data After Cancellation
After cancellation, your Organization's data is retained in read-only state. If you wish to permanently delete your Organization and all associated data, you may request deletion through the Service settings or by contacting support.
8. Your Content and Data
8.1 Ownership
You retain all ownership rights to the Content you create or upload to the Service. We do not claim ownership of your architectural decisions, assumptions, documentation, or any other Content.
8.2 License to Us
By using the Service, you grant us a limited, non-exclusive, worldwide license to:
- Store, process, and display your Content to provide the Service
- Create backups for disaster recovery purposes
- Transmit your Content as necessary for technical operation
This license exists solely to operate and improve the Service and terminates when you delete your Content or close your Account.
8.3 Content Responsibility
You are solely responsible for your Content and represent that:
- You have the right to upload and share the Content
- The Content does not violate any laws or third-party rights
- The Content does not contain malicious code or harmful materials
8.4 Decision Immutability
Accepted decisions in ReflectRally become immutable as a core feature of the governance model. Once a decision is accepted, it cannot be edited—only superseded by a new decision. This ensures an accurate historical record. You acknowledge and accept this behavior.
8.5 Data Export
You may export your Content at any time through the Service's export functionality. We will provide reasonable assistance for data portability requests.
9. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Upload Content that is defamatory, obscene, fraudulent, or harmful
- Attempt to gain unauthorized access to the Service or other users' Accounts
- Interfere with or disrupt the Service's integrity or performance
- Reverse-engineer, decompile, or attempt to extract source code
- Use automated systems (bots, scrapers) without our express permission
- Resell, sublicense, or redistribute access to the Service
- Use the Service for competitive analysis or to build competing products
- Transmit viruses, malware, or other harmful code
- Impersonate other users, organizations, or entities
We reserve the right to investigate violations and may suspend or terminate Accounts engaged in prohibited activities.
10. Intellectual Property
10.1 Our Intellectual Property
The Service, including its design, features, code, documentation, logos, and the "ReflectRally" name and brand, are owned by Served.ch LLC and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
10.2 Restrictions
You may not:
- Use our trademarks, logos, or branding without written permission
- Copy, modify, or create derivative works of the Service
- Remove or alter any proprietary notices in the Service
10.3 Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without compensation or attribution.
11. Data Protection and Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
11.1 Data We Collect
To provide the Service, we collect and process:
- Account information: Email address, name, password hash
- Organization data: Organization name, member roles, invitations
- Your Content: Architectural decisions, assumptions, dependencies, signals
- Usage data: Session information, feature usage for service improvement
- Billing data: Processed by Paddle; we store subscription status and plan details
11.2 Data Location
Data is primarily processed and stored in the European Union. We may use service providers in other regions with appropriate safeguards.
11.3 Data Processor
For Organizations using ReflectRally to process personal data about their team members, we act as a Data Processor. Organizations are responsible for ensuring their use complies with applicable data protection laws.
12. Service Availability and Support
12.1 Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide reasonable notice when possible)
- Unscheduled maintenance for critical updates or security patches
- Factors beyond our reasonable control
12.2 Support
Support is provided via email at hello@reflectrally.com. We aim to respond to inquiries within 2 business days but do not guarantee response times unless specified in a separate enterprise agreement.
12.3 Modifications
We may modify, update, or discontinue features of the Service. For significant changes affecting core functionality, we will provide reasonable notice. Continued use after modifications constitutes acceptance.
13. Limitation of Liability
Important: Please read this section carefully as it limits our liability to you.
13.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
13.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERVED.CH LLC SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, business opportunities, or goodwill
- Service interruptions or data loss
- Costs of procuring substitute services
- Any damages arising from your use or inability to use the Service
13.3 Liability Cap
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) CHF 100.
13.4 Essential Purpose
The limitations in this section apply even if any limited remedy fails of its essential purpose and regardless of the theory of liability.
13.5 Jurisdictional Variations
Some jurisdictions do not allow certain warranty exclusions or liability limitations. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Served.ch LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your Content
- Your violation of these Terms
- Your violation of any third-party rights
We reserve the right to assume exclusive defense of any matter subject to indemnification, in which case you will cooperate with us.
15. Termination
15.1 Termination by You
You may terminate your Account at any time by:
- Deleting your Account through the Service settings
- Contacting us at hello@reflectrally.com
If you are an Organization Owner, you must first transfer ownership or delete the Organization.
15.2 Termination by Us
We may suspend or terminate your access to the Service:
- Immediately for violations of these Terms or applicable law
- Immediately for non-payment after reasonable notice
- Upon 30 days' notice if we discontinue the Service
- To comply with legal requirements
15.3 Effect of Termination
Upon termination:
- Your right to access the Service ceases
- We may delete your Account and Content after a reasonable retention period (typically 30 days)
- Sections that by their nature should survive will continue in effect (including intellectual property, limitation of liability, and indemnification)
15.4 Data Export Before Termination
We recommend exporting your Content before terminating your Account. Upon request, we will provide reasonable assistance with data export.
16. Changes to Terms
We may update these Terms from time to time. When we make changes:
- We will post the updated Terms on this page with a new "Last updated" date
- For material changes, we will notify you via email or prominent in-app notice at least 30 days before they take effect
- Continued use of the Service after changes take effect constitutes acceptance
If you disagree with changes, you may terminate your Account before they take effect.
17. Governing Law and Disputes
17.1 Governing Law
These Terms are governed by the laws of Switzerland, without regard to conflict of law principles.
17.2 Dispute Resolution
Any disputes arising from these Terms or the Service shall be resolved as follows:
- Informal Resolution: We encourage you to contact us first at hello@reflectrally.com to resolve disputes informally.
- Jurisdiction: If informal resolution fails, disputes shall be subject to the exclusive jurisdiction of the courts of Basel City, Switzerland.
17.3 Class Action Waiver
To the extent permitted by law, you waive any right to bring claims as a class action or collective proceeding.
